IN ADDITION, THE CERTIFICATE OF INCORPORATION OF THE VILLAGE FOUNDATION REQUIRES THAT, AT ALL TIMES, AT LEAST ONE MEMBER OF THE BOARD OF DIRECTORS OF THE VILLAGE FOUNDATION MUST ALSO BE ON THE BOARD OF DIRECTORS OF BGV.
